Terms of Use

Terms for Miso accounts, Records, artist tools, payments, and related services.

Effective September 17, 2026 · Last updated September 20, 2026

These Terms of Use govern your use of the Miso website, app, and the APIs, media delivery, and other hosted services operated by Miso Labs, Inc., a Delaware, USA corporation (“Miso,” “we,” “us”). Together, these are the “Services.” Contact us at contact@miso.fm.

Our mailing address is Miso Labs, Inc., 169 Madison Ave STE 74706, New York, NY 10016, USA.

You must accept these Terms to create an account or use account-based Services. If you act for an artist, group, label, or other organization, you represent that you have authority to bind it. Our Privacy Policy explains how we handle personal information; accepting these Terms is not consent to every use of personal information.

1. Eligibility and accounts

You must be at least 18, have reached the age of majority where you live, and be legally able to enter into these Terms. You may not use the Services where doing so is prohibited by applicable law, including applicable sanctions and export restrictions.

Miso currently uses Google sign-in and Enoki’s zkLogin technology to associate your sign-in with a Sui blockchain address. Protect your Google account, devices, browser sessions, and any signing credentials you control. Do not share credentials or impersonate another person. Tell us promptly if you suspect unauthorized access.

Your ability to access an address can depend on the sign-in provider and wallet infrastructure. Miso does not hold your user signing key and cannot promise to recover an inaccessible account or move assets from it. Transaction sponsorship pays eligible network costs; it does not give Miso custody of your assets or permission to transact without your authorization.

Usernames are subject to availability and renewal rules. A username or profile is not proof of identity, endorsement, or verified music ownership. We may restrict misleading, infringing, or abusive usernames.

2. What Miso provides

The Services let listeners discover music, acquire digital Records, listen and interact with available mixes, and manage their collections. Artist tools support profiles, groups (called Parties), catalogs, credits, rights allocations, releases, listings, and royalty operations. Available features may vary by device, network, release, and account.

Miso’s hosted Services interact with public protocols, including Sui and Walrus. We do not control the entire blockchain, independent storage operators, third-party interfaces, or independently deployed contracts. These Terms govern our Services; they do not replace licenses for open-source software or bind someone merely because they independently use a public protocol.

3. Records, music rights, and permitted listening

A Record is a digital object associated with a release. Acquiring one does not, by itself, transfer copyright in the composition, recording, artwork, or stems; ownership of royalty interests; or commercial exploitation rights. Rights interests recorded separately in the protocol are distinct from listener Records. Any copyright assignment or additional license must be supported by an applicable agreement with the rights holder.

Subject to the rights holder’s authorization and any additional terms disclosed for a release, you may use the playback and offline listening features made available through the Services for your private, noncommercial enjoyment. Stems are provided for private use only. You may adjust the playback controls offered within Miso for your own listening; this does not grant a license to create or publish remixes, distribute recordings or stems, sample them, synchronize them with video, publicly perform them, or use them to train a model. Any such use requires separate permission from the relevant rights holders unless applicable law permits it. Statutory exceptions and permissions granted under a separate license remain available.

Transfers of a Record are subject to its contract and any applicable release terms. A transfer does not automatically transfer separately held rights interests. An on-chain ownership record does not guarantee uninterrupted hosting, compatibility, or perpetual access to media. Keep lawful backups where the release permits them.

4. Purchases, finality, refunds, and chargebacks

The artist offering a Record is the seller, and your purchase agreement for that Record is with the artist. Miso provides the platform and transaction interface. This allocation does not exclude any responsibility that applicable law places on Miso.

Review the release, seller or listing information, price, payment asset, network, recipient, and any disclosed fees before confirming a transaction. Listings may offer fixed prices or a minimum contribution with a higher amount you choose. The amount you authorize is the amount submitted for payment. Never send an unsupported asset or use an address on the wrong network.

Purchases and transfers settle through blockchain transactions. A pending or interrupted screen does not necessarily mean a transaction failed; check its status before trying again. Confirmed transactions cannot be canceled or reversed by Miso. A refund, where available, requires a separate payment rather than deletion of the original transaction.

Record purchases are final, and we do not offer refunds for a change of mind, except where required by applicable law. Purchases are generally final once the applicable Record has been successfully purchased and delivered on-chain. Because blockchain transactions are irreversible and proceeds may be distributed immediately to artists, creators, and other rightsholders, completed purchases generally cannot be cancelled or refunded.

If a purchase fails, a Record is not delivered, you are charged more than once, an incorrect amount is charged, or another payment or technical error occurs, you may contact Miso for assistance. Depending on the circumstances, Miso may provide a refund, credit, replacement delivery, or another appropriate remedy.

Nothing in these Terms limits any refund, cancellation, or other consumer right that cannot lawfully be waived or excluded under applicable law. This policy does not remove mandatory rights to refunds, withdrawal, repair, replacement, or other remedies for defective, misdescribed, or undelivered content or other legally protected circumstances. Blockchain finality does not eliminate those rights.

If a payment is reversed, disputed, charged back, refunded, or otherwise invalidated after proceeds have been distributed, Miso may take reasonable steps to address the resulting payment discrepancy in accordance with these Terms and any applicable creator or artist agreement.

Contact contact@miso.fm with your transaction digest and a description of any duplicate charge, missing content, unauthorized transaction, or other purchase problem. We will review the issue and coordinate with the artist as appropriate. The artist, as seller, is responsible for remedies required of the seller by law; Miso remains responsible for its own legal obligations. Where the law requires separate consent and acknowledgment for immediate digital delivery and loss of a withdrawal right, these Terms alone do not supply that consent.

Miso supports fixed-price and floor-price Record sales. The purchaser pays a 15% platform fee calculated as follows:

  • Fixed-price sales: the fee is 15% of the fixed price set by the artist, added to that price. A Record priced at $10 costs $11.50 including the $1.50 platform fee.
  • Floor-price sales: the artist sets a minimum price, and you may choose to pay more to support the artist. The fee is always 15% of the artist-set floor price, added to your chosen payment. No platform fee is charged on the amount above the floor. With a $100 floor and a chosen payment of $1,000, the fee is $15 and your total is $1,015.

These examples exclude any applicable taxes or separately disclosed third-party charges. The artist’s sale proceeds, including any additional support above the floor, are distributed according to the applicable royalty arrangements. The total price and platform fee will be disclosed before you confirm a purchase. This is Miso’s only platform fee; there is no subscription fee.

Sponsored network fees are subject to availability and eligibility. Any network, storage, or third-party charges are distinct from Miso’s platform fee and will be disclosed where applicable before you authorize an operation through the Services. You are responsible for your own applicable tax obligations; this does not remove tax collection or reporting duties imposed on Miso or a seller.

Digital assets and stablecoins carry risks, including loss of value or a price peg, issuer restrictions, network failures, software defects, and irreversible transfers. Miso does not promise investment returns, liquidity, redemption, or any particular asset value. The Services do not provide investment, tax, or legal advice.

5. Artist content, permissions, and royalties

You retain the rights you hold in content you submit. You must have permission to provide that content and authorize the intended uses, including the relevant composition, master recording, performance, artwork, lyrics, samples, names, likenesses, and stems. Obtain necessary permissions from collaborators and people whose personal information you publish. Do not submit confidential or sensitive personal information to public metadata or distributed storage.

You grant Miso a nonexclusive, worldwide license to host, store, reproduce, transcode, cache, transmit, display, and make your submitted content available as needed to operate the Services and deliver the features you enable, including authorized private playback and interactive listening controls. We may allow our service providers to perform those operations on our behalf. This license does not transfer ownership to Miso or, by itself, authorize unrelated advertising uses or model training. If you have a separate signed artist agreement with Miso, that agreement controls to the extent of a conflict concerning rights in your artist content.

This license lasts while the content is made available through the Services and afterward only as needed to honor existing user licenses, meet legal obligations, and wind down retained backups. Stopping future distribution does not revoke rights already validly granted to purchasers or erase copies beyond our control. Contact us to request removal from surfaces we operate.

You are responsible for accurate metadata, collaborator permissions, royalty splits, payout destinations, and your authority to make catalog or Party changes. Protocol entries and automated payments do not settle legal disputes about copyright ownership. Distribution depends on the configured contracts, balances, network operation, and processing; estimated royalties and timing are not guarantees. Report errors promptly and resolve conflicting rights claims with the relevant parties.

6. Acceptable use and API access

Do not use the Services to infringe intellectual property or privacy rights; impersonate, defraud, threaten, or harass others; distribute unlawful content or malware; or transact using assets you are not entitled to control. Do not exploit vulnerabilities, bypass authentication or access restrictions, manipulate sales or royalty activity, abuse fee sponsorship, or overload our infrastructure.

API users must respect published limits, authorization requirements, and third-party rights. Publicly readable data is not automatically free of copyright or privacy restrictions. Do not use our APIs to expose private credentials or facilitate unlawful profiling. These restrictions do not prohibit activity that applicable law or an applicable open-source license expressly permits. Report security concerns to contact@miso.fm.

7. AI assistant and external services

The optional AI assistant can help explain features and retrieve catalog or account-related information. Its responses may be incomplete or wrong. Verify important information and transaction details yourself; a chat response does not change a release license, price, or these Terms.

Sign-in providers, blockchain infrastructure, storage networks, and external sites have their own terms and privacy practices. Links do not imply endorsement. We remain responsible for obligations the law places on Miso, including when we use service providers.

8. Content complaints and enforcement

Send copyright, impersonation, privacy, or other content complaints to contact@miso.fm. For copyright complaints, identify the protected work and the disputed material, provide specific URLs or identifiers and your contact details, and explain your authority to act. Include a good-faith statement that the disputed use is not authorized by the owner, its agent, or the law; a statement under penalty of perjury that the information is accurate and you are authorized to act; and your physical or electronic signature.

We may request supporting information, notify the affected user, and restrict content or access on Services we control. We may suspend or terminate repeat infringers in appropriate circumstances. If you believe a restriction was a mistake, contact us with the relevant details so we can review it. We cannot guarantee removal from independent blockchain nodes, storage operators, or third-party copies.

9. Suspension, service changes, and leaving

We may restrict or suspend access when reasonably necessary to address a breach of these Terms, security threats, fraud, unlawful activity, or a legal requirement. We will provide notice and an opportunity to resolve the issue where reasonably practicable and lawful. Restrictions on our interface do not themselves confiscate on-chain assets or reverse transactions.

You may stop using the Services at any time and contact us about account-related data. Clearing browser data signs you out and removes local data; it does not delete blockchain history, transfer your assets, or necessarily delete information held by Miso or its providers.

We may change or discontinue features. Where a change materially affects a paid entitlement, we will give any notice and remedies required by applicable law. Ownership, licenses already granted, unpaid obligations, and provisions intended to operate after termination survive to the extent appropriate.

10. Warranties and responsibility

We will exercise the care required by applicable law. To the extent permitted by law, the Services are otherwise provided “as is” and “as available,” without additional warranties of uninterrupted operation, error-free content, fitness for a particular purpose, or third-party performance.

To the extent permitted by law, Miso is not liable for indirect or consequential losses, including lost profits or opportunities. Miso’s aggregate liability to you arising from the Services is limited to the greater of US$100 or the Miso platform fees you paid on Record purchases during the 12 months before the event giving rise to the claim. Only the platform-fee portion counts toward this amount; payments distributed to artists or other rights holders do not.

These exclusions and limits do not apply to fraud, willful misconduct, gross negligence, death or personal injury caused by negligence, or any liability or consumer remedy that cannot lawfully be excluded or limited. They do not excuse Miso from duties imposed by applicable privacy or consumer law.

11. Disputes and general terms

Please contact contact@miso.fm so we can try to resolve a concern. You retain your right to contact a regulator and bring a claim in a court with jurisdiction. These Terms do not impose mandatory arbitration or a class-action waiver. Mandatory protections and jurisdiction rights available to consumers where they live remain unaffected.

If a provision is unenforceable, the remaining provisions continue to apply to the extent lawful. A delay in enforcing a provision is not a waiver. Separate written agreements or terms clearly identified for a specific feature may govern that feature; they do not remove mandatory legal protections.

We will post revisions here with an updated date and provide appropriate notice of material changes. Where required, we will seek renewed acceptance before changes apply. Changes will not retroactively remove accrued rights. Contact Miso Labs, Inc. at contact@miso.fm about these Terms.
